Shell Pakistan Rebrands as Wafi Energy Pakistan Following Acquisition

Shell Pakistan Limited has officially been rebranded as Wafi Energy Pakistan Limited following the completion of an acquisition by Wafi Energy Holding Limited, according to a filing at the Pakistan Stock Exchange (PSX).

The transaction comprised the acquisition of 187,866,141 ordinary shares, which constitutes 87.78% of the company’s total issued share capital, under a Share Purchase Agreement (SPA) dated October 31, 2023.

The acquisition was succeeded by a compulsory tender offer extended to the remaining shareholders per the Securities Act of 2015 and the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations of 2017.

The members of the company subsequently ratified the resolution to change the name of the entity from ‘Shell Pakistan Limited’ to ‘Wafi Energy Pakistan Limited’ during a meeting convened on November 27, 2024.

On January 13, 2025, the Securities and Exchange Commission of Pakistan (SECP) issued a Certificate of Incorporation, thereby formalizing the change of name. The rebranding was duly implemented on the same day.

“The Company is pleased to inform that the Securities and Exchange Commission of Pakistan has issued a Certificate of Incorporation on Change of Name dated January 13, 2025. Consequently, the Company’s name has changed from ‘Shell Pakistan Limited’ to ‘Wafi Energy Pakistan Limited’ with effect from January 13, 2025,” read a notice issued by Shell Pakistan to the PSX.

The company also shared a copy of SECP’s Certificate of Incorporation. “I hereby certify that pursuant to the provisions of Section 13 of the Companies Act, 2017 (XIX of 2017) read with regulation 6 of the Companies’ regulations, the name of SHELL PAKISTAN LIMITED has been changed to WAFI ENERGY PAKISTAN LIMITED and that the said company has been duly incorporated as a company under the provisions of the said Act,” read the SECP’s statement.
